Embarque® Cancellation Policies

For reservations, a change fee or late cancellation fee of $45.00 will be charged to all transfer reservations changed or cancelled within the minimum stated time and prior to the scheduled pick up time in the city of service.

For hourly service, the change or late cancellation fee is equal to the hourly minimum.*
A no show fee equal to the hourly minimum or transfer rate, as applicable, for the confirmed vehicle will be charged if the passenger does not arrive, as scheduled, at the designated driver meeting location for all reservations.*

To avoid a late cancellation or no show fee, the reservation must be cancelled in accordance with the cancellation policy noted in your email confirmation. To do so you may either call 866.444.2144 or cancel your reservation on-line at www.embarque.com. If you experience difficulty locating the driver, please call the Service Provider telephone number listed on the email confirmation. Leaving the pick-up location without notifying Embarque® will result in a noshow charge.

*Applies to all reservations where the pick up location is within the local city metropolitan area. The local city metropolitan area is defined as within 60 miles of the downtown or city center. All services outside the local metropolitan area may be assessed the actual drive time to/from the pick-up location.

** Special Event Change and Cancellation Policies supersede the Embarque® standard Change and Cancellation Policies and are noted on confirmations.

Garage-to-Garage Calculations

Garage-to-Garage means charges are calculated by applying the applicable hourly rate commencing from the time the driver departs the garage to begin service and continues through such time the driver concludes service and returns to the garage. The minimum number of billable hours appears in the estimate, however the actual number of billable hours may exceed the minimum.

Wait Time - Airport Transfers

Wait time is not charged for commercial flights unless customers choose to deviate from proceeding to the stated customer/driver meeting location. In such instances, wait time beyond twenty (20) minutes will incur the transfer base charge plus the hourly charge prorated in fifteen (15) minute intervals.

Wait Time - Non-Airport Transfers

Customers are permitted twenty (20) minutes of wait time after the scheduled pickup time. Wait time beyond the twenty (20) minutes will incur the transfer base charge plus the hourly charge prorated in fifteen (15) minute intervals.

Additional Stops

Customers are allowed to make one stop which does not exceed fifteen (15) minutes during a transfer. If the stop exceeds fifteen (15) minutes, the customer will be charged the transfer base rate plus the hourly charge for the vehicle in fifteen (15) minute increments up to forty-five (45) minutes (rounded up) for the time that the driver waits. If there is more than one stop, or if the one stop lasts more than forty-five (45) minutes, then the trip will convert to an hourly charge.

Incidentals

Certain charges that are in addition to base rates. Includes parking, special requests and tolls.

Rate Estimate

Rates quoted prior to service are only an initial estimate of the cost of services reserved. Wait time and/or additional services may change the final price.

Child Safety Seats

For safety reasons of providing age and weight appropriate equipment, Embarque^TM does not provide child safety or booster seats. However, customers may provide and install their own child safety or booster seats.

Lost or Misplaced Items

Please note that Embarque® assumes no liability for any lost or misplaced personal property or any items left in any vehicle.

"Personal Information" is information that would allow someone to identify or contact you, including, for example, your full name, address, and telephone number or email address. Personal Information excludes demographic or sensitive information that, by itself, does not permit the identification of any one individual.

1. What Information Is Collected.

Carey collects the Personal Information that you provide to us through our Web Sites, our Worldwide Reservations Center, and directly through Carey sales employees. We may collect information in additional ways from Users of our Web Sites, as explained in this Section and Sections 2 and 3.

Users may browse through the informational portion of our Web Sites without providing us with any Personal Information. However, if you request information or materials from us, we may ask for your contact information, such as your name, email address, company name, address, and phone number. In addition, we may collect personal information from you when you send us emails or submit other forms of information directly to us. We may also collect personal information from you at other points on our Web Sites that state that Personal Information is being collected.

To access and make reservations through the online reservations system offered by Carey International at our Web Sites, we will require you to complete a registration form. This registration form will request certain Personal Information about the Web Site user ("User") and the traveler who will use our transportation services ("Client") in the event the Client is different from the User. This information will be compiled into a profile. Such information may include at least the following: for the User, name, address, email address, company name, phone number and ARC or IATA number; and for the Client, name, email address, phone number, company name, work address, home address and billing address, pick-up and drop-off information, credit card information, corporate account information, and in-transit itineraries.

In addition, we may use a feature of your browser called a "cookie" to identify you while you are using our Web Sites. Cookies are small pieces of information stored on your hard drive, not on our Web Sites. Cookies make your internet experience quicker and more convenient. You are always free to decline our cookies if your browser permits, but some parts of our Web Sites may not work properly if you do. We may also use cookies for other purposes, including enhancements to the reservations system. In addition, we may also collect User's IP addresses and browsing habits (such as pages viewed and other clickstream data) to help us analyze traffic on the Web Sites, and we may have link identification numbers when Users link to the Web Sites from web sites of our partners.

2. Who Collects Your Information.

Carey International owns the Web Sites and the Personal Information collected through the Web Sites. We may outsource to a third party the hosting and operation of the Web Sites. However, such third parties do not and will not have any ownership interest in the Personal Information collected or any right to use the Personal Information apart from the operation of our Web Sites. For Personal Information we receive from third party reservations agents, systems or centers, Carey owns, jointly owns, or has the appropriate licenses to use such information. Because Carey is not responsible for the privacy practices of third parties, you should check with the third party who initiated your reservations to determine its respective privacy policies.

3. How We Use Your Information or Disclose It to Third Parties.

Delivery of Service - We use the personal information collected through our Web Sites to administer and deliver our services. In connection with the delivery of our services, we may share the Personal Information with third-party partners or vendors who help deliver or administer the services, but they are only permitted to use the information in connection with the delivery or administration of our services. For example, we share a Client's credit card information with a third-party credit card processing company, but that company is not permitted to use the credit card or Personal Information for any purpose other than to fulfill the specific purchase transaction. We may also share Personal Information with Carey subsidiaries, affiliates, licensees, and subcontracted service providers who need such information to provide the services that you have specifically requested.

Carey Sales Promotions - We may use the Personal Information collected through the Web Sites to provide you with information or newsletters related to our services, and to promote our services to your company as listed in your profile. This may include information and promotions via email, postal mail, fax or telephone calls. In addition, we may provide certain of your Personal Information, namely your name, email address, address and phone number, to third parties who offer goods or services in which we think you might be interested. However, for information that we have collected through your voluntary participation in an online customer survey to obtain your suggestions or comments about Carey International's services, we use such information only for the purpose for which it was collected. We will not use such survey information for direct marketing or disclosure to other companies.

Transfer Due to Corporate Reorganization - We may share, sell or transfer the personal information you provide to us in the event of bankruptcy or the sale or transfer of a division or some or all of our corporate assets or capital stock.

Internal Marketing Research and Reporting - We use non-personal information on an aggregated basis for a variety of purposes, including operating and enhancing our Web Sites and our services, internal marketing research, and management reporting. We reserve the right to use and disclose this aggregated information to third parties for any purpose. Aggregate information will not identify any one specific individual.

Cookies - We also use pixels, or transparent GIF files, to help manage online advertising. These GIF files are provided by our advertisement management partners. These files enable our partners to recognize a unique cookie on your Web browser, which in turn enables us to learn which advertisements bring users to our website. The cookie was placed by us, or by another advertiser who works with our partners. The information that we collect and share is anonymous and not personally identifiable. It does not contain your name, address, telephone number, or email address.

4. Controlling the Collection, Use and Onward Transfer of Your Information.

You can control the content of the Personal Information we have collected by following the instructions stated below in Section 5. In addition, if you do not want to receive marketing materials or communications from us or, subject to Section 5, do not want your contact information disclosed to third parties apart from the delivery or administration of our services, you can opt out.

We only share your Personal Information with third parties in limited circumstances where:

• We provide your Personal Information to service providers we have retained to perform services, or process Personal Information, on our behalf, only to the extent necessary to deliver or administer such services. We require service providers to process Personal Information in a manner consistent with this Privacy Policy or other similar or appropriate privacy measures.
• Access, use, preservation, or disclosure of Personal Information is reasonably necessary for Carey to detect, prevent or remedy security or technical issues, or suspected or actual fraudulent or illegal activity; to satisfy any applicable law, regulation, ordinance, or legal process, including government investigation; or to protect the rights of Carey, our clients, or other individuals, as required or permitted by law.
• You have authorized Carey to do so. Carey will notify you in the event we use Personal Information in a manner different from that described in this Privacy Policy. We will not share any sensitive information without your opt-in consent.

In the event that we use your Personal Information in a manner different from that described in this Privacy Policy, we will notify you and offer you a reasonable opportunity to opt out of: (i) the use of your Personal Information for such purposes; or (ii) the disclosure of your Personal Information to a third party.

In the unlikely event that sensitive information (such as a medical or health condition, race or ethnic origin, religious or philosophical belief, etc.) is provided to Carey, Carey will offer you the opportunity to affirmatively and explicitly consent to: (i) the use of sensitive information in a manner different from that described in this Privacy Policy; or (ii) the disclosure of sensitive information to a third party ("opt-in").

Please note that if you provide any information on your own or directly to third parties who may be linked to, or otherwise connected with, our Web Site, different rules may apply to their use or disclosure of your personal information. We encourage you to investigate and ask questions before disclosing information to third parties.

5. Correcting, Updating and Deleting Your Personal Information.

You can access, update, or delete your personal information through Carey's Web Sites by logging into your Carey or Embarque account, by contacting us at info@Carey.com, or by calling Carey's Worldwide Reservations Center. However, for verification and security purposes, before we allow you to access, update, or delete your Personal Information through any means, you may be asked to provide us certain Personal Information. In addition, we may charge a reasonable fee and/or set a reasonable limit on the number of times within a given period that access requests will be considered. We may also restrict access to Personal Information in limited circumstances where the legitimate rights of persons other than the User or Client would be violated, or where the burden or expense of providing access would be disproportionate to the privacy risk to the individual.

We are not responsible for removing your Personal Information from the records of any third party who has previously been provided with your information in accordance with this policy. If you delete your Personal Information, it will not be used by us or disclosed to third parties in the future in the ordinary course of business. However, even if you delete or change some Personal Information in our registration database, it may still be stored on other databases (including those kept for archival purposes). Also, because we need to have certain of your Personal Information in order to deliver our services, you will not be able to receive such services if you delete such Personal Information.

6. Our Security Procedures.

Carey will use Personal Information to the extent necessary to deliver or administer our services, and only for the purposes for which it was originally collected, or subsequently authorized by you, in accordance with this Privacy Policy. Carey will take reasonable steps to ensure that your Personal Information is relevant to its intended use, current, accurate, and complete.

We have established and currently maintain security procedures to protect the confidentiality, security and integrity of your Personal Information from loss, misuse, unauthorized access, and disclosure. We use encryption, Secure Socket Layers, and firewalls, and we implement off-line efforts to further protect this information, including updating our security practices and privacy policies, and limiting employee, agent, and subcontractor access to Personal Information to those who need to know such information to deliver or administer services. In addition, both electronic and paper records containing Personal Information are maintained in access-controlled facilities.

Our Web Sites are maintained in the United States of America. By using the Web Sites, you authorize the exportation of your personal information to the U.S.A. and its storage and use as specified above when you provide such information to us.

7. Enforcement

Carey has established internal policies and procedures to review and verify our ongoing compliance with this Privacy Policy, including an annual assessment to verify that privacy practices have been implemented as represented in this Privacy Policy. In the event of a formal complaint, it is Carey's policy to contact the individual directly to resolve any concerns. Carey will cooperate with JAMS pursuant to the JAMS International Mediation Rules, which are accessible on the JAMS website at www.jamsadr.com/rules-international-rules, if the complaint cannot be resolved through Carey's internal processes. Such JAMS mediation will be held in New York, NY for complaints by individuals in the U.S. and in London, UK for complaints by individuals outside of the U.S. Carey will take steps to remedy any issues arising out of a written recommendation that Carey has failed to comply with the Safe Harbor principles. The mediator may propose any reasonable and appropriate remedy or sanction, and may refer failures to comply with Safe Harbor principles to the U.S. Federal Trade Commission, or to the courts, as appropriate.

8. Changes to this Policy.

Carey may amend or change this Privacy Policy at any time. We will post any revisions to this Privacy Policy on Carey's Web Sites. Therefore, you should review Carey's Web Sites periodically to ensure that you are informed of our current policies and practices. Any User or Client who provides additional Personal Information after these changes are posted will be deemed to have accepted the revised policy.
